About the Transaction



Now that the Qwest merger is complete, CenturyLink is the third largest telecommunications company in the United States. The company provides broadband, voice and wireless services to consumers and businesses across the country. It also offers advanced entertainment services under the CenturyLinkTM PrismTM TV and DIRECTV brands. In addition, the company provides data, voice and managed services to business, government and wholesale customers in local, national and select international markets through its high-quality advanced fiber optic network and multiple data centers.

The combined company has the financial strength, national breadth and local depth to provide a compelling array of broadband products and services including high-speed Internet, video entertainment, data hosting and managed services, as well as fiber connectivity and other high bandwidth services.

Customers benefit from CenturyLink’s local operating model, which places decisions about the network, products and offers, and customer service as close to the customer as possible.

CenturyLink has a dedicated employee base with a customer-focused culture, committed to providing quality service and being the broadband provider of choice to all customer segments.

The combined company has the financial strength, national breadth and local depth to provide a compelling array of broadband products and services including high-speed Internet, video entertainment, data hosting and managed services, as well as fiber connectivity and other high bandwidth services.

The combination of CenturyLink and Qwest creates a high capacity 190,000 route-mile fiber network that spans the United States from coast to coast, nearly doubling network access points.

With a network backbone that will soon be capable of up to 100 Gbps, the network enables businesses to run high-bandwidth applications without decreases in security, quality or performance.

We have three primary customer segments: consumer/SOHO (small office home office), business/government, and wholesale. Our employees work within and across our company’s organizations to collaboratively support these customer segments.

The customer is at the center of CenturyLink’s local operating model, allowing us to compete more effectively and deliver the best possible customer experience across all customer groups and markets, whether rural, urban or metropolitan.

The merger of CenturyLink’s and Qwest’s network assets, product sets and resources creates a new force in the telecommunications industry that expands and enhances the options we are able to offer our customers.

CenturyLink provides dedicated sales and service to business and government customers in local, national and select international markets with strategic and customized communications solutions via its fiber optic network, advanced business products, and state-of-the-art data centers.

Providing high-quality wholesale service is a priority at CenturyLink. The combined company has the experience and expertise necessary to serve wholesale customers.

No. It is business as usual for customers from both companies. If or when customers need to do anything, they will be notified well in advance of any changes taking place.

This transaction is compelling for shareholders of both companies. Qwest shareholders will benefit from an immediate premium for their shares, an increase of approximately 50 percent in the annual dividend, and the opportunity to participate in the upside potential of the combined company through their ownership of CenturyLink stock. Shareholders of both companies should look forward to becoming part of a larger company with a strong financial profile and an industry-leading local and national network, with a shared commitment to customers, employees, communities and shareholders.

The combined company will operate under the CenturyLink name and brand. It will take several months after the completion of the merger to fully implement the CenturyLink brand across the Qwest markets. Transitional branding, using both the CenturyLink and Qwest brands, will be present in the Qwest markets through the duration of the name and brand conversion.

The word “Century” communicates strength, tradition and performance for the 21st century. The word “Link” taps into our customers’ aspirations to connect with each other, to access information and to link to the entire country and beyond. Together, “CenturyLink” represents a hopeful, energetic, name that is linking the country, connecting people and creating opportunities.

The CenturyLink logo reflects the connections we make through interlinking “pathways” that offer our customers access to opportunities and possibilities. The pathways suggest progress and choice for individuals and businesses to connect locally, nationally and beyond to the information and entertainment they want.

The color green connotes growth. The two tones of green represent different landscapes, connecting the diverse and unique communities we serve.
